1. Understanding the Call Option: Why It’s Required
All financial instruments made available for leasing by AOL INC. LTD—whether Bonds, Medium-Term Notes (MTNs), or Standby Letters of Credit (SBLCs)—are sourced from the secondary market, where they are held by institutional custodians, banks, or asset pools. Our company does not hold a proprietary inventory of instruments. Instead, upon receiving a leasing request, we identify and select a suitable instrument, and proceed to secure a right of purchase through the activation of a Call Option.
The Call Option is a contractual mechanism that guarantees our exclusive right—but not obligation—to acquire the selected instrument at a defined price and within a specific time frame. This legal and financial commitment freezes the asset’s availability, prevents third-party intervention, and allows the leasing process to move forward in a controlled and protected manner.
Once the Lending Agreement has been signed, the Call Option is activated with a validity of 20 days, and the Borrower receives the Call Option documentation relating to the transaction. From that moment, the procedure follows a strict sequence:
- Signature of the Lending Agreement between AOL INC. LTD (Lender) and the Borrower;
- Activation of the Call Option (20 days) — the Borrower receives the Call Option documents relating to the transaction;
- Conditional payment of the leasing fee — within, and no later than, the Call Option validity, the Borrower must issue payment of the leasing fee, strictly conditional upon the assignment of the bank instrument. Upon receipt of a copy of the issued payment, the Lender (AOL INC. LTD) performs the Due Diligence, which must be completed within the Call Option period;
- Assignment of the bank instrument via SWIFT.
The Call Option fee, paid by the Borrower, covers the real market costs incurred by AOL INC. LTD to secure this right. It is not a mark-up, but an operational necessity that allows the company to act in a timely and binding manner vis-à-vis the market.
In any case, the cost of the Call Option may be deducted directly from the payment of the leasing fee: in this way, once the transaction proceeds, the Borrower immediately recovers the funds deposited for the Call Option, bearing no net additional cost.
